1. Agreement to Terms

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and timely information necessary for service delivery
• Grant necessary access to accounts, platforms, and tools as required
• Review and approve deliverables in a timely manner
• Make payments according to the agreed schedule
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or fraudulent purpose

4. Payment Terms

Payment terms are specified in your individual service agreement. General terms include:

• Services are billed monthly unless otherwise agreed
• Payment is due upon receipt of invoice unless otherwise specified
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• We reserve the right to suspend services for accounts with overdue balances exceeding 30 days

5. Service Agreements and Cancellation

Our services operate on a month-to-month basis unless otherwise specified in your service agreement. Either party may terminate with 30 days written notice. Upon cancellation:

• You retain ownership of your domain, website content, and business accounts
• We will provide a transition period to transfer access to all accounts and assets
• Any prepaid fees for unused services will be refunded on a pro-rata basis
• Outstanding balances for services already rendered remain due

6. Intellectual Property

Your content: You retain ownership of all content, logos, images, and materials you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

Our work: Upon full payment, you own the deliverables we create for you (website design, content, etc.). We retain the right to use anonymized examples of our work in our portfolio and marketing materials unless you request otherwise in writing.

Our tools and processes: We retain ownership of our proprietary tools, methodologies, templates, and processes used in delivering services.

7. Results and Guarantees

While we are committed to delivering the best possible results, digital marketing outcomes are influenced by many factors beyond our control, including search engine algorithm changes, market competition, and industry trends.

We do not guarantee specific rankings, lead volumes, or revenue outcomes. We guarantee the quality and timeliness of our work, transparency in reporting, and our commitment to achieving the best possible results for your business.

8. Limitation of Liability

To the maximum extent permitted by law, Growmile Digital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business, or data, arising from or related to:

• Your use or inability to use our services
• Search engine algorithm changes affecting rankings
• Third-party platform changes or outages (Google, Meta, etc.)
• Unauthorized access to or alteration of your data

Our total liability for any claim shall not exceed the total fees paid to us in the 3 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Growmile Digital LLC, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, your violation of any law, or your infringement of any third-party rights.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives termination of the service agreement.

11. Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the website's functionality
• Scrape, crawl, or extract data from our website without permission
• Submit false or misleading information through our forms

12. Governing Law
